With over 20 years dedicated exclusively to foreign businesses in Spain, Lawants connects the legal text to the decisions companies actually need to make.

Lawants integrates Spanish corporate, tax and compliance advice through one point of contact in Barcelona and Madrid.

    Discuss your Spanish company

What Is the Spanish Companies Act?

The Spanish Companies Act, commonly called the Capital Companies Act or Ley de Sociedades de Capital (LSC), is the principal statute governing capital companies in Spain. Its correct legal reference is Royal Legislative Decree 1/2010 of 2 July, which approved a consolidated text that entered into force on 1 September 2010.

The LSC brought the core rules for limited liability companies, public limited companies and partnerships limited by shares into one legislative text. It now regulates their formation, share capital, shareholders, governing bodies, annual accounts, amendments, dissolution and liquidation.

For a foreign investor, the practical point is simple: the LSC governs the company after the notarial deed has been signed. It affects who can make a decision, which majority is required, whether a transfer is valid, what directors must do and when shareholders or directors may face liability.

The authoritative reference is the consolidated Spanish text published by the Official State Gazette. The LSC has been amended repeatedly since 2010, so an original or older translated copy is not enough for current advice. The consolidated BOE text currently identifies 3 January 2025 as its latest published update.

One change with immediate practical relevance came from Law 18/2022 on business creation and growth, which reduced the statutory minimum capital for an S.L. from €3,000 to €1 and introduced safeguards for companies capitalised below €3,000. Any analysis of “the latest Companies Act” should therefore start from the consolidated legislation, not from a dated summary.

Which Companies Does the Spanish Companies Act Cover?

Article 1 of the LSC identifies three capital company forms. The Act therefore does not apply indiscriminately to every business, partnership or foreign entity operating in Spain.

Sociedad de Responsabilidad Limitada (S.L.)

The S.L. is the standard limited liability company used by foreign founders, SMEs and international groups establishing a Spanish subsidiary. Its capital is divided into participaciones sociales, not freely tradable shares. The LSC gives the S.L. a comparatively closed structure and permits restrictions on transfers to protect the composition of the shareholder base.

Sociedad Anónima (S.A.)

The S.A. is designed for larger capital structures, businesses requiring more transferable shares and companies that may access securities markets. Its minimum capital and governance requirements are more demanding. Listed companies are also subject to additional securities-market and corporate-governance rules.

Sociedad Comanditaria por Acciones

The partnership limited by shares is also covered by the LSC. At least one general partner has personal liability for company debts, while the capital is divided into shares. It is legally available but rarely the first structure considered for an ordinary foreign-market entry.

Scope of the LSC

The Spanish Companies Act covers S.L., S.A. and sociedades comanditarias por acciones. Sole traders, sociedades civiles, sociedades colectivas, simple limited partnerships, branches and foreign parent companies require analysis under other rules as well.

A branch of a foreign company is especially important to distinguish. The branch is registered in Spain, but it is not a separate Spanish capital company. Its legal identity remains that of the foreign parent, so its corporate governance is not governed in the same way as an S.L. subsidiary.

What Does the Spanish Companies Act Regulate?

The LSC follows the entire legal life of a capital company. The deed identifies the founders, their contributions, the company form and its initial governing body. It also incorporates the bylaws.

Registration is not a clerical afterthought. It gives the entity the legal personality corresponding to the form selected. Transactions entered into before registration require careful handling because the rules for a company in formation and an unregistered company can affect liability.

Company Name, Registered Office and Corporate Purpose

The bylaws must identify the company’s legal name, corporate purpose, registered office, capital, ownership interests and governance structure. The company name must be cleared through the Central Mercantile Registry and include the appropriate legal designation, such as S.L. or S.A.

The registered office must correspond to the company’s effective centre of administration and management in Spain or its principal Spanish establishment. A nominal address should not be selected without considering tax residence, notifications, banking and operational substance.

Share Capital Under Spanish Company Law

The current minimum capital for an S.L. is €1, not €3,000. However, an S.L. incorporated with less than €3,000 is subject to creditor-protection rules. At least 20% of annual profit must be allocated to the legal reserve until capital plus that reserve reaches €3,000. If the company is liquidated without sufficient assets, shareholders can be jointly liable for the difference between €3,000 and the subscribed capital.

The minimum capital of an S.A. remains €60,000. It must be fully subscribed and at least 25% of the nominal value of each share must generally be paid at incorporation. The legally permitted minimum should not be confused with the amount the business actually needs to operate or demonstrate substance.

Shareholders, Shares and Ownership Transfers

Shareholders have economic and governance rights, including rights to dividends, liquidation proceeds, information, attendance and voting. These rights are exercised within the LSC, the bylaws and any valid shareholder agreements.

An S.L. uses participaciones sociales, while an S.A. uses shares. The transfer regime is not interchangeable. S.L. interests are generally more restricted, particularly when sold to an outsider. A transaction that is valid commercially can still fail to produce the intended corporate effect if statutory and bylaw procedures are ignored.

An S.L. or S.A. may have a single shareholder and become an S.L.U. or S.A.U. Sole-member status must be properly recorded and disclosed. Unlike a sole trader, the company remains a separate legal entity, and the sole shareholder does not automatically own the company’s assets or assume all of its debts personally.

General Meetings and Corporate Resolutions

The general meeting decides matters reserved to shareholders, including approval of annual accounts, allocation of results, appointment and removal of directors, amendments to the bylaws, capital changes and major structural decisions.

Notice, agenda, quorum and majority requirements matter. A resolution may be challenged when the meeting was not correctly convened, information rights were breached, the required majority was absent or the decision harmed the company in favour of particular shareholders or third parties.

Directors’ Powers, Duties and Liability

Spanish companies can use different management models, including a sole director, joint directors, joint and several directors or a board of directors. The model changes how the company is represented and whose signature is required.

Directors must act with due care and loyalty, avoid conflicts of interest, protect confidential information and exercise their powers for the purposes for which they were granted. Liability can arise from acts or omissions contrary to law or the bylaws, or from a breach of directors’ duties that causes damage.

Annual Accounts, Dissolution and Liquidation

The LSC also governs the preparation, approval, audit and filing of annual accounts. It sets grounds for dissolution and regulates the liquidators, the final balance sheet and distribution of remaining assets. Stopping trade does not extinguish a Spanish company. A dormant company continues to exist and retains corporate, accounting and tax obligations until it is formally closed.

For the complete closure process, see our guide on how to close and liquidate a company in Spain.

Spanish Company Law Beyond the Capital Companies Act

The LSC is the central statute, but it is not the whole of Spanish corporate legislation. Insolvency law becomes decisive when the company cannot regularly meet its obligations. Regulated sectors, listed companies and financial entities face further requirements.

This is why reading one statute is not enough to structure an international project. The legal form, tax presence, employment model and regulated activity must be reviewed together.

How the Spanish Companies Act Affects Foreign Investors

Foreign individuals and companies can generally own Spanish capital companies. When the shareholder is a foreign company, that entity normally needs a Spanish NIF. Its existence, registered address, directors and authorisation to invest must also be evidenced with correctly prepared corporate documents.

These are frequent bottlenecks in international incorporations. Lawants uses a structured workflow for the foreign company’s NIF and prepares powers of attorney to cover the required process without multiplying notarial acts, apostilles or sworn translations unnecessarily.

Remote Incorporation Under Spanish Company Law

A foreign shareholder does not always need to travel to Spain. A properly drafted power of attorney can allow a representative to complete tax identification, execute the incorporation deed and coordinate registration. The scope and formal validity of the power must be checked before appointments are scheduled.

Lawants can complete a standard incorporation in 7 to 10 days from receipt of the complete documentation. The qualification matters: missing foreign-company evidence, incorrect legalisation or bank compliance can interrupt the sequence before the statutory steps even begin.

Bylaws and Shareholders’ Agreements

The bylaws form part of the public corporate framework and bind the company. A shareholders’ agreement is a private contract that can regulate reserved matters, transfer restrictions, funding, deadlock, tag-along and drag-along rights, non-compete obligations and exit mechanisms.

A shareholders’ agreement does not automatically replace the bylaws. Provisions placed only in a private agreement may bind the parties contractually without having the same corporate effect against the company or third parties. The two documents should be drafted as a coordinated governance system.

Foreign Parent Companies and Spanish Subsidiaries

A Spanish subsidiary is governed by Spanish company law even when its sole shareholder is an Italian S.r.l., UK Ltd, US corporation or another foreign company. Joint and several directors can normally act individually, while joint directors must act together in the manner registered. A board provides collective decision-making and can delegate powers within statutory limits.

The best model depends on control, availability, banking, transaction flow and the relationship between the foreign parent and local management. Choosing a director only because that person is physically present in Spain can create authority, tax-residence and liability consequences.

Directors’ Duties and Personal Exposure

Directors owe their duties to the Spanish company.
