What is Piercing the Corporate Veil?

Piercing the corporate veil in Spain is a doctrine established by the Spanish Supreme Court that allows judges to disregard the company’s legal personality when it has been abused or used fraudulently.

Though not codified in a specific law, it is based on core principles of Spanish civil law:

  • Article 6.4 of the Civil Code: prohibits fraud of the law.
  • Article 7.1: requires the exercise of rights in good faith.
  • Consistent Supreme Court case law, defining strict limits for application.

Its purpose is clear: prevent individuals from misusing corporate separation to avoid liability when the company structure has been used to commit corporate fraud in Spain.

When Can the Corporate Veil Be Pierced in Spain?

The Spanish Supreme Court states this doctrine should be used exceptionally and restrictively, only with clear evidence of misuse of the company structure. Typical cases include:

Shell or Dummy Companies

Firms without real activity, staff or structure, used solely to sign contracts or issue invoices without any intent to perform. The goal is typically to protect the personal assets of whoever actually controls the business.

Commingling of Assets

When the line between corporate and personal assets is blurred—for example, when personal expenses are paid from company accounts or assets are transferred between both patrimonies without justification.

Unified Management in Corporate Groups

Formally independent companies operating under a single strategy and direction. Courts may pierce the veil to reach the parent company or individuals behind it, establishing director personal liability for the group’s debts.

Fraud or Evasion of Legal Obligations

Used to avoid taxes, labor rules, contracts, or to simulate insolvency by draining assets artificially before declaring bankruptcy.

Key Case Law from the Spanish Supreme Court

The Spanish Supreme Court has consolidated this doctrine through numerous rulings, including:

  • STS 811/2006: affirms piercing the veil when a company is used as a “tool” to commit abuses.
  • STS 142/2009: stresses it’s not to be applied lightly or to generalize liability.
  • STS 96/2017: reinforces the restrictive nature and the need for clear evidence of abuse.

Real Cases Handled by Lawants

At our firm, we have achieved direct convictions against directors in numerous corporate fraud cases. Here are some examples:

Fake Real Estate Developer

A client signed a purchase contract with a company that never delivered the property and was completely inactive. The court held the administrator personally liable for the refund.

Unpaid Foreign Supplier

A Spanish company was formally insolvent after receiving goods from a foreign supplier. We proved commingling and that the director controlled everything via a personal account. The court allowed seizure of personal assets.

Parent Company Draining a Bankrupt Subsidiary

We showed lack of independence and obtained a ruling extending liability to the group for the subsidiary’s debts.

What Can This Doctrine Achieve?

If successful, the court may:

  • Hold individuals personally liable for corporate debts.
  • Seize personal assets even if the company is “bankrupt”.
  • Bypass the common excuse: “I’m not the company” used to avoid responsibility.

Warning Signs That May Justify Veil Piercing

Several indicators may suggest the applicability of piercing the corporate veil:

  • No real office, staff or commercial activity.
  • Same administrators across multiple similar companies with similar patterns.
  • Use of personal bank accounts for company funds or shared financial management.
  • Patterns of systematic non-payment or fake insolvency.
  • Suspicious transfers of assets to other companies or individuals before claiming insolvency.
